These Terms of Service ("Terms") govern your access to and use of the MXKRS client portal and the products, manufacturing, and related services provided by MXKRS Group LLC, a Texas limited liability company ("MXKRS," "we," "us," or "our"). By requesting an account, accessing the portal, or placing an order, you agree to these Terms on behalf of yourself and the company you represent.
Portal access is offered to businesses we work with. When you request an account, you agree to provide accurate, complete company and contact information and to keep it up to date. All access requests are subject to review and approval by MXKRS, and we may approve, decline, suspend, or revoke access at our discretion. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
The portal is a tool for managing production work with MXKRS — including intake, quotes, tech packs, order status, shipping information, and invoicing. It is provided to support our working relationship and is not a substitute for the written agreements, quotes, and purchase orders that govern individual projects. Where a signed agreement, quote, or order confirmation conflicts with these Terms, that project-specific document controls for that project.
Quotes and estimated timelines shown in the portal are estimates and are not binding until confirmed by MXKRS. Production begins once order details are finalized and any required deposit or payment is received. Delivery dates are good-faith estimates and may be affected by revisions, material availability, factory schedules, holidays, customs, and shipping carriers. Quantities produced may vary within customary manufacturing tolerances.
You agree to pay all amounts due under each invoice by its due date and according to the payment terms stated for the applicable order. Deposits are typically required to begin production, with the balance due before shipping unless otherwise agreed in writing. Unpaid balances may pause production or shipment. Prices are exclusive of taxes, duties, and shipping unless expressly stated.
Designs, artwork, logos, and specifications you provide remain your property, and you grant MXKRS a limited license to use them solely to produce your order and provide the Service. You represent that you have the rights to everything you submit and that it does not infringe the rights of others. The portal software, its layout, and MXKRS's own materials remain the property of MXKRS.
Each party may receive non-public information from the other (including designs, pricing, and business information). Both parties agree to use such information only to carry out the working relationship and to protect it from unauthorized disclosure.
You agree not to misuse the portal, including by attempting to access accounts or data that are not yours, disrupting the Service, uploading malicious files, or using the Service for any unlawful purpose. Uploaded files must be limited to legitimate project materials (such as tech packs, artwork, and certificates).
The portal is provided "as is" and "as available." To the fullest extent permitted by law, MXKRS disclaims all warranties not expressly stated in a signed agreement, including implied warranties of merchantability and fitness for a particular purpose regarding the portal software itself. This section does not limit any product warranties expressly agreed for a specific order.
To the fullest extent permitted by law, MXKRS will not be liable for indirect, incidental, special, or consequential damages arising from your use of the portal. Our total liability relating to the portal will not exceed the amounts paid by you to MXKRS for the order to which the claim relates. Nothing here limits liability that cannot be limited under applicable law.
You may stop using the portal at any time. We may suspend or terminate access if you breach these Terms, if required for security, or if our working relationship ends. Obligations that by their nature should survive termination — including payment, confidentiality, and intellectual-property terms — will survive.
We may update these Terms from time to time. When we do, we will revise the effective date above, and material changes will take effect upon posting. Your continued use of the portal after changes take effect means you accept the updated Terms.
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The parties will attempt to resolve any dispute in good faith; any dispute not resolved will be subject to the exclusive jurisdiction of the state and federal courts located in Texas.
